# Avant Overview

Avant is an evolutionary DeFi protocol aimed at creating **sustainable**, **higher risk-adjusted yield** through the deployment of advanced market-neutral strategies.

The Avant Protocol introduces a family of tokens built around foundational crypto assets. These tokens are organized into three distinct categories:

* **`avAssets` (Base Tokens):** The entry point to the ecosystem. These are tokens backed 1:1 by an underlying asset (e.g., `avUSD` is backed by USDC).
* **`savAssets` (Staked Tokens):** The primary yield-earning tokens. By staking an `avAsset`, you receive an `savAsset`, which represents the yield-bearing form of the Senior Tranche.
* **`avAssetX` (Boosted Tokens):** The boosted-yield tokens. By boosting an `avAsset`, you receive an `avAssetX` token, which represents the higher-risk, higher-reward Junior Tranche position.

Core protocol actions like **staking** and **boosting** can be initiated from supported chains in the Avant application. If cross-chain movement is required, the application routes it in-flow and tracks progress in the interface. If you are already on the asset's native chain, actions execute directly.

## USD-Backed Tokens

### avUSD

`avUSD` is the primary stable token of the Avant Protocol, acting as the entry point for USD-denominated yield. It receives no yield.

* **What is it:** A stable token fully backed on a 1:1 basis by `USDC`.
* **How to get it:** Users can mint `avUSD` by depositing `USDC` on its native chain (Avalanche), or acquire `avUSD` through supported in-app buy/swap routes on supported chains where liquidity is available.
* **How to bridge it:** Bridging is handled in-app across supported networks via Chainlink CCIP and LayerZero, with route selection and transfer status tracking in the interface.
* **Purpose:** `avUSD` acts as a liquid receipt for your deposited `USDC`. It can be redeemed back for `USDC` or staked to earn yield.

### savUSD (Staked avUSD)

`savUSD` is the primary yield-bearing token for stablecoin depositors. It represents a senior, lower-risk position in the protocol's yield strategies.

* **How to get it:** Users can stake `avUSD` on its native chain (Avalanche), or acquire `savUSD` through supported in-app buy/swap routes on supported chains where liquidity is available.
* **How to bridge it:** Bridging is handled in-app across supported networks via Chainlink CCIP and LayerZero, with route selection and transfer status tracking in the interface.
* **How yield accrues:** `savUSD` accrues value as the protocol's strategies generate yield. The exchange rate of `savUSD` to `avUSD` continuously increases, meaning when you unstake, you receive more `avUSD` than you initially deposited.
* **Risk Profile:** The Senior Tranche, `savUSD` is protected by the `avUSDx` junior tranche. In the event of a loss from the strategies, the `avUSDx` pool would absorb it first, making `savUSD` a more secure, stable-yielding instrument.
* **Cooldown Period:** Converting `savUSD` back to `avUSD` takes **1 day,** and no yield is earned in this period.

* **How to bridge it:** Bridging is handled in-app across supported networks via Chainlink CCIP and LayerZero, with route selection and transfer status tracking in the interface.
* **How yield is boosted:** The yield for `avUSDx` is sourced from the following mechanisms:
  * **Baseline Yield**: The Junior Tranche receives the base yield associated with its underlying strategy exposure.
  * **Amplified Yield Share**: It receives an additional 10% share of the total yield generated by all capital committed to the main `avUSD` strategy in the protocol.
  * **Protocol Treasury Contributions**: On rare occasions, the protocol treasury may contribute additional yield.\

### Prerequisites

**Action:** Purchase a small amount of the native currency for your chosen network from a centralized exchange (e.g., Coinbase, Binance) and withdraw it to your wallet address on the correct chain. A small amount is typically sufficient for many transactions.

# Minting avAssets

**Minting** is the process of depositing an underlying asset (like `USDC` or `BTC.b`) into the protocol to create an equivalent amount of an **`avAsset`** (e.g., `avUSD`). These tokens do not earn yield on their own, but can be **staked** or **boosted** to begin generating a return. They are also highly composable for participation in various DeFi protocols.

### Step-by-Step Guide

1. **Navigate to the Products Section:** Connect your wallet to the [Avant app](https://app.avantprotocol.com/) and go to the [Products](https://app.avantprotocol.com/products) section.
2. **Select Your Asset and Path:** Choose your asset (e.g., `avUSD`) and click **Get**. Based on your connected chain, the interface shows either **Mint** (native-chain direct path) or **Buy** (routed swap path, where liquidity is available).&#x20;

For security, this approval is only for the amount you are depositing now. It does not grant infinite approval, and you will need to approve a new amount for each subsequent deposit.

# Unstaking savAssets

**Unstaking** is the process of converting a `savAsset` (e.g., `savUSD`) back into its corresponding `avAsset` (e.g., `avUSD`). This process involves a **cooldown period**, after which you can withdraw the `avAsset` to your wallet.

### Step-by-Step Guide

1. **Open Portfolio or Products:** Go to the [Portfolio](https://app.avantprotocol.com/) or [Products](https://app.avantprotocol.com/products) section of the app.
2. **Click Get and Select Action:** Click **Get** next to your `savAsset` (for example, `savUSD`), then select **Unstake**.
3. **Choose Path and Amount:** Enter the amount and follow the path shown for your connected chain.&#x20;

4. **Review Output and Route:** Check expected output and fees. Click route details to view included stages.

6. **Wait for the Cooldown (Unstake Path):** After confirming **Unstake**, the dashboard shows your unstaking amount and readiness time. During this period, funds are locked and earn no yield.
7. **Withdraw Your Funds (Unstake Path):** Once the cooldown period is over, return to the dashboard or Unstake panel and click **Withdraw**. This sends the underlying `avAsset` (e.g., `avUSD`) to your wallet.

### **Waiting Periods**

The cooldown period varies for each `savAsset`. The current waiting periods are:

* `savUSD` → `avUSD`: 24 hours
* `savBTC` → `avBTC`: 24 hours
* `savETH` → `avETH`: 24 hours

## Tip: Instant Unstaking via DEXes

If you need to access your funds immediately without waiting for the cooldown period, you may be able to swap your staked tokens (e.g., `savUSD`) directly on decentralized exchanges (DEXes) such as [Uniswap](https://app.uniswap.org/), [LFJ](https://lfj.gg/swap), and [Pharaoh](https://pharaoh.exchange/swap). This option depends on the **liquidity available on the DEX**.

If you initiate another unstaking request while you already have funds in a cooldown period, the cooldown timer for all your unstaked funds (both currently cooling down and the newly unstaked amount) **will reset**. This means the entire combined amount will be subject to the full cooldown period again, starting from the time of your latest unstaking transaction.

# Redeeming avAssetX

This process is for converting a **boosted `avAssetX` token** (e.g., `avUSDx`) back into its corresponding **base `avAsset`** (e.g., `avUSD`).

* **Fixed Waiting Period:** Redemptions for boosted tokens (e.g., `avUSDx`) are fixed and complete after a 1-week cooldown.
* **No Yield Accrual:** During the waiting period, the tokens being withdrawn do not accrue any yield.
* **Final Redemption Price:** The final redemption price for `avAssetX` tokens will be calculated using the lower of (i) *the price at the request time* and (ii) *the price at the end of the cooldown period*. This means yield will no longer accrue, and users will be exposed to any price downside while the request is pending.
* **No Adjustments:** `avAssetX` redemption requests cannot be adjusted. If you need to make changes, you must first cancel the pending request and then submit a new one.
* **Multiple Redemption Requests:** You can submit multiple redemption requests simultaneously. Each request will have its own separate waiting period.
* **Transparency:** A redemption fee may apply, and this will be clearly displayed in the interface before you proceed.

1. **Open the Bridge Interface**

Navigate to the [Avant application](https://app.avantprotocol.com/) and open the [Portfolio](https://app.avantprotocol.com/) page. Click the **Bridge** button next to the asset you want to bridge.

* **Bridge:** After the approval is confirmed, click the **Bridge** button and confirm the final transaction in your wallet.

#### **Monitoring Your Transfer**

Once you have submitted the transaction, you can monitor its status in the bridge interface.

# Yield Distribution

**Yield distribution** is the process by which the earnings generated from the protocol's strategies are delivered to the holders of Avant's yield-bearing tokens (e.g., `savUSD`, `avUSDx`).

The protocol operates on a weekly cycle, referred to as an **epoch**. However, the distribution frequency varies between the Senior Tranches (e.g., `savUSD`) and the Junior Tranches (e.g., `avUSDx`).

### Yield Redistribution: The Junior Tranche Advantage <a href="#yield-redistribution-the-junior-tranche-advantage" id="yield-redistribution-the-junior-tranche-advantage"></a>

The **Junior Tranche** (e.g., `avAssetX`) is structured to receive a higher yield than the Senior Tranche (e.g., `savAsset`) in exchange for its role as the primary loss-absorption layer. This augmented yield is sourced from three distinct mechanisms:

1. **Baseline Yield**: All capital in the protocol (both Senior and Junior Tranches) earns the underlying base yield generated by the corresponding main strategy.
2. **Structural Yield Redistribution:** The Junior Tranche receives an additional yield allocation equivalent to **10%** of the total yield generated by all capital committed to the main strategy in the protocol. This entire portion is redistributed exclusively among the committed Junior Tranche capital.
3. **Protocol Treasury Contributions:** On rare occasions, the protocol treasury may contribute additional yield when considered appropriate.

## **Distribution for Senior Tranches**

The yield for Senior Tranche tokens is distributed in daily increments to provide a smooth and consistent appreciation in value.

* **Weekly Calculation:** The distribution cycle is anchored to a weekly epoch that begins **each Thursday**. At this time, the total yield generated during the previous week is calculated and finalized.
* **Daily Value Accrual:** This finalized weekly yield is then divided and distributed in portions each day. The daily distribution process is initiated at approximately 11:59 UTC. This daily value transfer increases the underlying value of `savAssets` (e.g., `savUSD`), meaning the amount of the corresponding `avAsset` (e.g., `avUSD`)  they can be redeemed for increases daily.

## **Distribution for Junior Tranche**

In contrast to the daily accrual for the Senior Tranches, the yield distribution for `avAssetX` tokens follows a weekly schedule.

* **Weekly Distribution:** Yield earned by the Junior Tranche is calculated and distributed once per week, on Thursdays, coinciding with the start of the new epoch.
* **User Impact:** This means the value of an `avAssetX` token reflects its earnings in a single, weekly update rather than through incremental daily increases.


# Protocol Revenue & Fees

This page outlines how the Avant Protocol generates revenue to ensure its long-term sustainability and continued development. All fees are transparent and clearly displayed on our front end.

## Performance Fees

Avant takes a 10% performance fee based on the net profits generated by its strategies. Additionally, a variable performance fee is allocated to the protocol's expert trading partners. ## Protocol Treasury

The protocol treasury is managed productively in DeFi. Yield generated by treasury capital helps fund the protocol and support ongoing operations.

## Yield from Unstaked avAssets

The **Estimated Daily APY** is the projected yield based on the rewards to be distributed to staked token holders (e.g., `savUSD`) over the *current 24-hour period*. It is a **forward-looking estimate**, not a guaranteed rate, that is constantly updated and annualized for display.

This value may fluctuate in response to changes in staking activity (TVL), the performance of the underlying strategies, and the timing of reward distributions.&#x20;

# Terms of Use

These Terms of Use (the “***Terms***”) govern your use of the website located at <https://www.avantprotocol.com/> (the “***Site***”). The Site facilitates access to and interaction with a decentralized financial protocol which, among other things, enables the exchange of certain digital assets for other digital assets known as the Avant Protocol (the “***Protocol***”), further described at <https://docs.avantprotocol.com/> (the “***Documentation***”), as made available by Avant Protocol Foundation and its affiliates (collectively, the “***Foundation***”, “***we***”, “***our***” and “***us***”). To the extent that the Documentation conflicts with these Terms, these Terms shall supersede and govern your use of the Site and Protocol.

**NOTICE ON PROHIBITED USE – RESTRICTED PERSONS**: THE SITE AND ANY RELATED SERVICES ARE NOT OFFERED TO AND MAY NOT BE USED BY:

PERSONS OR ENTITIES WHO RESIDE IN, ARE CITIZENS OF, ARE LOCATED IN, ARE INCORPORATED IN, OR HAVE A REGISTERED OFFICE IN ANY RESTRICTED TERRITORY, AS DEFINED BELOW (EACH SUCH PERSON OR ENTITY FROM A RESTRICTED TERRITORY, A “***RESTRICTED PERSON***”).

WE DO NOT MAKE EXCEPTIONS. THEREFORE, IF YOU ARE A RESTRICTED PERSON, THEN DO NOT ATTEMPT TO USE THE SITE OR ANY RELATED SERVICES. USE OF A VIRTUAL PRIVATE NETWORK (“***VPN***”) OR ANY OTHER SIMILAR MEANS INTENDED TO CIRCUMVENT THE RESTRICTIONS SET FORTH HEREIN IS PROHIBITED.

You may use the Site and Protocol only if you are at least 18 years of age (or such other minimum age at which you can provide consent to data processing under the laws of your territory), and not otherwise barred from using the Site or Protocol under applicable law. In order to protect the integrity of the Site or Protocol, we reserve the right, at any time, in our sole discretion, to block access to the Site from certain IP addresses and unique device identifiers. For the purposes of these Terms, “***Restricted Territory***” means the United States, Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk People’s Republic and Luhansk People’s Republic regions of Ukraine or any other country to which the United States embargoes goods or imposes similar sanctions.

**WHEN YOU AGREE TO THESE TERMS, YOU ARE AGREEING (WITH LIMITED EXCEPTION) TO RESOLVE ANY DISPUTE BETWEEN YOU AND THE FOUNDATION THROUGH BINDING, INDIVIDUAL ARBITRATION RATHER THAN IN COURT. PLEASE REVIEW CAREFULLY SECTION 11 “DISPUTE RESOLUTION” BELOW FOR DETAILS REGARDING ARBITRATION. HOWEVER, IF YOU ARE A RESIDENT OF A JURISDICTION WHERE APPLICABLE LAW PROHIBITS ARBITRATION OF DISPUTES, THE AGREEMENT TO ARBITRATE IN SECTION 11 WILL NOT APPLY TO YOU BUT THE PROVISIONS OF SECTION 10 “GOVERNING LAW AND FORUM CHOICE” WILL APPLY INSTEAD.**

1. **Interaction with the Site and Protocol.**
   1. The Protocol allows users to exchange certain accepted digital assets such as USDC, ETH and BTC (each, a “**Protocol-Accepted Asset**”, and together, “**Protocol-Accepted Assets**”) for digital tokens generated by the Protocol such as avUSD, avETH and avBTC (each, a “**Protocol-Generated Asset**”, and together, the “**Protocol-Generated Assets**”), which represent programmatic claims against the respective Protocol smart contracts holding certain assets (such assets, “**Reserves**”). Upon an exchange through the Protocol (which is an exchange with the Foundation), the Protocol-Accepted Assets exchanged for Protocol-Generated Assets become part of the Reserves and are beneficially owned by the Foundation
   2. THE SITE AND THE PROTOCOL ARE PROVIDED “AS IS”, AT YOUR OWN RISK, AND WITHOUT WARRANTIES OF ANY KIND. WITHOUT LIMITING THE FOREGOING, WE EXPLICITLY DISCLAIM ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WE MAKE NO WARRANTY THAT THE SITE OR PROTOCOL WILL MEET YOUR REQUIREMENTS OR BE AVAILABLE ON AN UNINTERRUPTED, SECURE, OR ERROR-FREE BASIS. WE MAKE NO WARRANTY REGARDING THE QUALITY, ACCURACY, TIMELINESS, TRUTHFULNESS, COMPLETENESS OR RELIABILITY OF ANY INFORMATION OR CONTENT ON THE SITE.
   3. By using or accessing this Site or the Protocol and related smart contracts, you understand and expressly agree to these Terms, and you agree that no developer or entity, including but not limited to the Foundation, its affiliates, agents and service providers (the “***Foundation Parties***”) involved in creating, deploying or maintaining this Site or the Protocol will be liable for any claims or damages whatsoever associated with your use, inability to use, or your interaction with other users of, this Site or the Protocol, including any direct, indirect, incidental, special, exemplary, punitive or consequential damages, or loss of profits, digital assets, tokens, or anything else of value, including but not limited to the Reserves.
   4. THE FOUNDATION PARTIES WILL NOT BE RESPONSIBLE OR LIABLE TO YOU FOR ANY LOSS AND TAKE NO RESPONSIBILITY FOR, AND WILL NOT BE LIABLE TO YOU FOR, ANY USE OF THE SITE OR PROTOCOL, INCLUDING BUT NOT LIMITED TO ANY LOSSES, DAMAGES OR CLAIMS ARISING FROM: (I) USER ERROR SUCH AS FORGOTTEN PASSWORDS, INCORRECTLY CONSTRUCTED TRANSACTIONS, OR MISTYPED WALLET ADDRESSES; (II) SERVER FAILURE OR DATA LOSS; (III) CRYPTOCURRENCY WALLETS OR CORRUPT FILES; (IV) UNAUTHORIZED ACCESS TO THE SITE; OR (V) ANY THIRD PARTY ACTIVITIES, INCLUDING WITHOUT LIMITATION THE USE OF VIRUSES, PHISHING, BRUTEFORCING OR OTHER MEANS OF ATTACK AGAINST ANY BLOCKCHAIN NETWORK UNDERLYING THE SITE OR PROTOCOL.
2. **Changes to these Terms or the Site.** We may update the Terms from time to time in our sole discretion. If we do, we’ll notify you by posting the revised Terms on the Site and/or by sending other communications. You must review the Terms whenever we update them, or you use the Site. If you continue to use the Site after we have posted revised Terms, you accept and agree to the changes. If you don’t agree to be bound by the changes, you may not use the Site anymore. Because our Site is evolving, we may, at any time and without notice, change or discontinue all or any part of the Site, in our sole discretion.
3. **Regulatory and Compliance Suspensions or Terminations.** We may suspend or terminate your access to the Site at any time in connection with any transaction, or refuse to execute instructions, as required by applicable law or any governmental authority, or if we, in our sole and reasonable discretion, determine you are violating these Terms or the terms of any third-party service provider. Such suspension or termination shall not constitute a breach of these Terms by the Foundation. In accordance with anti-money laundering, anti-terrorism, anti-fraud, and other compliance policies and practices, we may impose reasonable limitations and controls on the ability of you or any beneficiary to utilize the Site. You are solely responsible for any losses resulting from such suspensions, terminations or limitations. For the avoidance of doubt, we do not have and will not exercise discretion over digital assets held in your wallet and do not undertake to review the accuracy or feasibility of any transactions.
4. **General Prohibitions and the Foundation’s Enforcement Rights.** You agree not to do any of the following:
   1. Use, display, mirror or frame the Site or any individual element within the Site, the Foundation’s name, any Foundation trademark, logo or other proprietary information, or the layout and design of any page or form contained on a page, without the Foundation’s express written consent;
   2. Access, tamper with, or use non-public areas of the Site, the Foundation’s computer systems, or the technical delivery systems of the Foundation’s providers;
   3. Attempt to probe, scan or test the vulnerability of any Foundation system or network or breach any security or authentication measures;
   4. Avoid, bypass, remove, deactivate, impair, descramble or otherwise circumvent any technological measure implemented by the Foundation or any of the Foundation’s providers or any other third party (including another user) to protect the Site;
   5. Attempt to access or search the Site or download content from the Site using any engine, software, tool, agent, device or mechanism (including spiders, robots, crawlers, data mining tools or the like) other than the software and/or search agents provided by the Foundation or other generally available third-party web browsers;
   6. Send any unsolicited or unauthorized advertising, promotional materials, email, junk mail, spam, chain letters or other form of solicitation;
   7. Use any meta tags or other hidden text or metadata utilizing the Foundation trademark, logo URL or product name without the Foundation’s express written consent;
   8. Use the Site, or any portion thereof, for any commercial purpose or for the benefit of any third party or in any manner not permitted by these Terms;
   9. Forge any TCP/IP packet header or any part of the header information in any email or newsgroup posting, or in any way use the Site to send altered, deceptive or false source-identifying information;
   10. Attempt to decipher, decompile, disassemble or reverse engineer any of the software used to provide the Site;
   11. Interfere with, or attempt to interfere with, the access of any user, host or network, including, without limitation, sending a virus, overloading, flooding, spamming, or mail-bombing the Site;
   12. Collect or store any personally identifiable information from the Site from other users of the Site without their express permission;
   13. Impersonate or misrepresent your affiliation with any person or entity;
   14. Violate any applicable law, rule, or regulation concerning the integrity of trading markets, including (but not limited to) the manipulative tactics commonly known as spoofing and wash trading;
   15. Violate any applicable law or regulation; or
   16. Encourage or enable any other individual to do any of the foregoing.
5. **No Fiduciary Duties.** The Site and Protocol are not intended to, and do not, create or impose any fiduciary duties on the Foundation Parties. To the fullest extent permitted by law, any user of the Site or Protocol acknowledges and agrees that the Foundation Parties owe no fiduciary duties to it or any other party, and that to the extent any such duties or liabilities may exist at law or in equity, those duties and liabilities are hereby irrevocably disclaimed, waived, and eliminated. Any user of the Site or Protocol further agrees that the only duties and obligations that the Foundation or Foundation Parties, as applicable, may owe are those set out expressly herein.
6. **Links to Third Party Websites or Resources.** The Site may allow you to access third-party websites or other resources. We provide access only as a convenience and are not responsible for the content, products or services on or available from those resources or links displayed on such websites. You acknowledge sole responsibility for and assume all risk arising from, your use of any third-party resources.
7. **Termination.** We may suspend or terminate your access to and use of the Site, at our sole discretion, at any time and without notice to you. Upon any termination, discontinuation or cancellation of the Site or your access to and use of the Site, the following Sections will survive: 1 and 4-14.
8. **Indemnity.** You will indemnify and hold the Foundation Parties harmless from and against any claims, disputes, demands, liabilities, damages, losses, and costs and expenses, including, without limitation, reasonable legal and accounting fees arising out of or in any way connected with (a) your access to or use of the Site or Protocol or (b) your violation of these Terms.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NONE OF THE FOUNDATION PARTIES INVOLVED IN CREATING, PRODUCING, OR DELIVERING THE SITE OR PROTOCOL WILL BE LIABLE FOR ANY INCIDENTAL, SPECIAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES, OR DAMAGES FOR LOST PROFITS, LOST REVENUES, LOST SAVINGS, LOST BUSINESS OPPORTUNITY, LOSS OF DATA OR GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE OR SYSTEM FAILURE OR THE COST OF SUBSTITUTE SERVICES OF ANY KIND ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR FROM THE USE OF OR INABILITY TO USE THE SITE OR PROTOCOL, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT ANY FOUNDATION PARTY HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, EVEN IF A LIMITED REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.
   2. TO THE MAXIMUM EXTENT PERMITTED BY THE LAW OF THE APPLICABLE JURISDICTION, IN NO EVENT WILL ANY OF THE FOUNDATION PARTIES’ TOTAL LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR FROM THE USE OF OR INABILITY TO USE THE SERVICES EXCEED ONE HUNDRED DOLLARS ($100).
   3. THE EXCLUSIONS AND LIMITATIONS OF DAMAGES SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN THE FOUNDATION AND YOU.
10. **Governing Law and Forum Choice.** These Terms and any action related thereto will be governed by the British Virgin Islands Arbitration Act 2013 and the laws of the British Virgin Islands, without regard to its conflict of laws provisions. Except as otherwise expressly set forth in Section 11 “Dispute Resolution,” the exclusive jurisdiction for all Disputes (defined below) that you and the Foundation are not required to arbitrate will be the courts located in the British Virgin Islands, and you and the Foundation each waive any objection to jurisdiction and venue in such courts.
11. **Dispute Resolution.**
    1. Mandatory Arbitration of Disputes. You and the Foundation each agree that any dispute, claim or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation or validity thereof or the use of the Site or Protocol (collectively, “***Disputes***”) will be resolved **solely by binding, individual arbitration and not in a class, representative or consolidated action or proceeding**. You and the Foundation agree that the British Virgin Islands Arbitration Act 2013 governs the interpretation and enforcement of these Terms, and that you and the Foundation are each waiving the right to a trial by jury or to participate in a class action. This arbitration provision shall survive termination of these Terms.
    2. Exceptions. As limited exceptions to Section 11(a) above: (i) we both may seek to resolve a Dispute in small claims court if it qualifies; and (ii) we each retain the right to seek injunctive or other equitable relief from a court to prevent (or enjoin) the infringement or misappropriation of our intellectual property rights.
    3. Conducting Arbitration and Arbitration Rules. The arbitration will be conducted by JAMS under its JAMS Comprehensive Arbitration Rules and Procedures (the “***JAMS Rules***”) then in effect, except as modified by these Terms. The JAMS Rules are available at <https://www.jamsadr.com/>. A party who wishes to start arbitration must submit a written Demand for Arbitration to JAMS and give notice to the other party as specified in the JAMS Rules. JAMS provides a form Demand for Arbitration at <https://www.jamsadr.com/>.
       1. Any arbitration hearings will take place in the county (or parish) where you live, unless we both agree to a different location, but will be conducted remotely to the extent permitted by the JAMS Rules. The parties agree that the arbitrator shall have exclusive authority to decide all issues relating to the interpretation, applicability, enforceability and scope of this arbitration agreement.
    4. Arbitration Costs. Payment of all filing, administration and arbitrator fees will be governed by the JAMS Rules, and we won’t seek to recover the administration and arbitrator fees we are responsible for paying, unless the arbitrator finds your Dispute frivolous. If we prevail in arbitration we’ll pay all of our attorneys’ fees and costs and won’t seek to recover them from you. If you prevail in arbitration you will be entitled to an award of attorneys’ fees and expenses to the extent provided under applicable law.
    5. Injunctive and Declaratory Relief. Except as provided in Section 11(b) above, the arbitrator shall determine all issues of liability on the merits of any claim asserted by either party and may award declaratory or injunctive relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party’s individual claim. To the extent that you or we prevail on a claim and seek public injunctive relief (that is, injunctive relief that has the primary purpose and effect of prohibiting unlawful acts that threaten future injury to the public), the entitlement to and extent of such relief must be litigated in a civil court of competent jurisdiction and not in arbitration. The parties agree that litigation of any issues of public injunctive relief shall be stayed pending the outcome of the merits of any individual claims in arbitration.
    6. Class Action Waiver. **YOU AND THE FOUNDATION AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.** Further, if the parties’ Dispute is resolved through arbitration, the arbitrator may not consolidate another person’s claims with your claims, and may not otherwise preside over any form of a representative or class proceeding. If this specific provision is found to be unenforceable, then the entirety of this Dispute Resolution section shall be null and void.
    7. Severability. With the exception of any of the provisions in Section 11(f) of these Terms (“***Class Action Waiver***”), if an arbitrator or court of competent jurisdiction decides that any part of these Terms is invalid or unenforceable, the other parts of these Terms will still apply.
12. **General Terms.**
    1. Reservation of Rights. The Foundation and its licensors exclusively own all right, title and interest in and to the Site, including all associated intellectual property rights. You acknowledge that the Site is protected by copyright, trademark, and other laws of the United States and foreign countries. You agree not to remove, alter or obscure any copyright, trademark, service mark or other proprietary rights notices incorporated in or accompanying the Site.
    2. Entire Agreement. These Terms constitute the entire and exclusive understanding and agreement between the Foundation and you regarding the Site or Protocol, and these Terms supersede and replace all prior oral or written understandings or agreements between the Foundation and you regarding the Site or Protocol. If any provision of these Terms is held invalid or unenforceable by an arbitrator or a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible and the other provisions of these Terms will remain in full force and effect. You may not assign or transfer these Terms, by operation of law or otherwise, without the Foundation’s prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null. The Foundation may freely assign or transfer these Terms without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors and permitted assigns.
    3. Notices. Any notices or other communications provided by the Foundation under these Terms will be given: (i) via email; or (ii) by posting to the Site. For notices made by email, the date of receipt will be deemed the date on which such notice is transmitted.
    4. Waiver of Rights. The Foundation’s failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of the Foundation. Except as expressly set forth in these Terms, the exercise by either party of any of its remedies under these Terms will be without prejudice to its other remedies under these Terms or otherwise.

13. **Terminology.**
    1. When used within the Site or Documentation, the terms “debt”, “lend”, “refinance”, “collateral”, “credit”, “priority”, “leverage”, “bank”, “borrow”, “yield”, “invest” and/or other similar terms are not meant to be interpreted pursuant to the customary legal meaning of those terms or to those terms as defined in any body of commercial law. Rather, such terms are being used to draw rough analogies between the heavily automated and mostly deterministic operations of a decentralized smart contract system and the discretionary performance of traditional-finance transactions between individuals.&#x20;
    2. By accessing and using the Site or Protocol, you represent that you understand the inherent risks associated with using cryptographic and blockchain-based systems, and that you have a working knowledge of the usage and intricacies of digital assets such as bitcoin (BTC), ether (ETH), and other digital tokens such as those following the Ethereum Token Standard (ERC-20). You further understand that the markets for these digital assets are highly volatile due to factors including (but not limited to) adoption, speculation, technology, security, and regulation. You further acknowledge the risk that your digital assets, including but not limited to the Protocol-Issued Assets, may lose some or all of their value. ## Understanding Risks

Avant Protocol is engineered with a multi-layered security and risk management framework. However, like any platform in Decentralized Finance (DeFi), interacting with the protocol carries inherent risks. We believe in transparency and want our users to be fully aware of these potential risks.

This document provides an overview of the primary risk categories and summarizes the measures in place to mitigate them.

### **Smart Contract Risk**

* The Risk: A vulnerability in Avant's own smart contracts, or in the external smart contracts the protocol interacts with, could potentially be exploited by a malicious actor.
* Mitigation: Avant's contracts are intentionally designed with low complexity to minimize the attack surface. All contracts undergo multiple, independent audits by leading security firms before deployment. Furthermore, all external protocols are subject to a rigorous due diligence process.

### **Strategy & Market Risk**

* The Risk: The underlying yield strategies may temporarily underperform or incur losses due to adverse or unexpected market conditions (e.g., periods of negative funding rates for basis trades).
* Mitigation: The protocol utilizes a diversified, multi-strategy approach to avoid over-reliance on any single source of yield. Strategies are actively managed to adapt to changing market conditions. The Junior Tranche (`avUSDx`) is also designed to absorb initial losses, shielding `savUSD` holders from short-term volatility.

### **Custody & Operational Risk**

* The Risk: This includes risks associated with the custody of protocol assets, potential human error, or the operational control of the protocol.
* Mitigation: This risk is managed through several layers. Assets are held in institutional-grade Multi-Party Computation (MPC) wallets that eliminate single points of failure. A robust framework of internal controls, transaction policies (such as address whitelisting), and role-based access is strictly enforced to prevent unauthorized actions and minimize operational errors.

### **Liquidity & Redemption Risk**

* The Risk: In a scenario where an exceptionally large volume of `avTokens` is redeemed simultaneously, users may experience delays in the withdrawal process.
* Mitigation: The protocol is designed to manage outflows predictably through an unstaking cooldown period. While most withdrawal requests are expected to be processed promptly after this cooldown, very large redemptions may require additional processing time to ensure assets are sourced and transferred in a secure and orderly manner.

### **Counterparty Risk**

* The Risk: An external DeFi protocol that Avant's strategies are integrated with could experience an exploit, a failure, or another adverse event, impacting the capital allocated to it.
* Mitigation: The protocol limits its exposure to any single counterparty through diversification and allocation rules. Furthermore, all external protocols are vetted through our extensive due diligence process and are monitored 24/7 for real-time threats.
